1. Introduction

These terms and conditions of the Green Giveback Rewards Programme (“Terms and Conditions”) set out below, apply to each Trade Exchange Agreement entered into between the Parties, pursuant to the Green Giveback Rewards Programme.

All references to ‘Green Media’, ‘we’, ‘us’ and ‘our’ in these Terms and Conditions, are deemed to refer to Green Media, a division of Grapevine Creative Media (Pty) Ltd (registration number 2019/537174/07), a limited liability company incorporated in the Republic of South Africa and having its registered address at 73 Bowling Avenue, Morningside Manor, Johannesburg.

2. Definitions

Capitalised terms used in these Terms and Conditions, but that are not specifically defined herein shall have the meanings given to them in the Trade Exchange Subscription Agreement entered into between the Parties.

BEE Consultant: Paul Ganisch t/a Caird, with identity number 67025129083, or such other BEE consultancy as determined by Green Media from time to time.

3. Eligibility

The Programme is open exclusively to media owners with unsold advertising space who are registered on the platform. Participants must complete the membership registration process and agree to exchange unsold ad space as part of the Programme.

4. Membership Benefits

Participants earn GiveBacks (GB) for every R25 of unsold media exchanged, with R10 going towards product donations to charity and 1GB credited to the member’s account.

Members receive additional bonuses, including 10,000 GiveBacks (worth R10,000), awarded within 24 hours upon successful membership registration.

5. Use of GiveBacks

Participants can redeem their GiveBacks by requesting products listed on the Green Media client portal until GiveBackStore.co.za goes live. Once the store is live, participants will receive a login code to access their account, view their status, and purchase products and services using their GiveBacks.

1GB is equivalent to R1 and can be used to purchase products available on the platform.

6. Social Media Posting and Press Coverage

Rewards include R50,000 worth of social media posts for every R1,000,000 ad space exchanged. Each post is valued at R2,500 and may be posted on Green Media’s or the Media Owner’s platforms, subject to mutual agreement.

7. Charity Contributions

Green Media donates products to charities on behalf of Media Owners. Members may nominate registered charities for donations, subject to Green Media’s vetting and approval process.

8. Membership Fees

The annual membership fee is R100,000, payable in the form of unsold advertising space. This fee is non-refundable and must be fulfilled to maintain active membership and access Programme benefits.

9. Fraud Prevention and Compliance

Green Media reserves the right to investigate and revoke GiveBacks in cases of suspected fraud, misuse, or violation of Programme terms.

10. Limitation of Liability

Green Media is not liable for any loss, damage, or delays in product availability or delivery from the Green Media client portal or GiveBackStore.co.za.

11. Governing Law and Notices

These Terms and Conditions and the applicable Trade Exchange Agreements entered into pursuant to the Programme shall be governed and interpreted in accordance with the laws of the Republic of South Africa.
